A very interesting question infact it looks very simple but  many people only says  that cell is the functional unit of life . Actually as we know that all organisms performs activities means function so these function are performed by organs but we know that organs are made of tissues and tissues are made of cells so actually these cells are responsible to performs functions
Thats why we says that cell is the basic unit of fuctional and structural unit of life
As we know that cell membrane consist of lipid bilayer means it contain two layers of lipids and phosphate
so lipids are hydrophobic and phosophate are hydrophilic in nature and thats why  negative charge is present on phosphate which compels the cell membrane to gain negative charge.
